¹Bondholders shall receive 5% interest per year, paid monthly, until conversion to stock, if any.
²Starting 1/1/2027, the bonds shall automatically convert to shares of non-voting common stock if HouseHack's stock value is determined to be $1.40/share or higher. The conversion price will be $1.40/share, regardless of present market value. For instance, if the stock value is found to be $5.00/share, the conversion price for bondholders will still be $1.40/share. If the bonds do not convert to stock because HouseHack's stock value does not reach $1.40/share or higher during the automatic conversion period, then the bonds shall mature on 12/31/2032; at which time, the bondholder's principle and any unpaid, earned interest shall be issued.
